What is the legal requirement for having Directors in UK companies?

We are currently part of an UK owner corporation, with a named Director & Company Secretary (who we know by name only, and has not visited the site in the last 2 years) - but our 2 sites (employing ~150 & ~20) will be sold to a French company in Q3.

Both sites currently have a Site Manager.

At this stage - there is no mention of what will happen to the named Director or Company Secretary - we presume at site level that they will be replaced by the French Board.

What information do I need to tell them?

How worried should our Site Managers be?

PS The HSE are already in the process of investigating our working practices (10 inspector visits in last 2 months)

The structure defined in your health and safety PO&A will be the HSE start point - the lack of directors based in the UK will probably prompt further HSE interest. The organisation section must define the director level and report lines. It is also a requirement under company law for these persons to defined and named.

As the IoD are putting their name to this I suspect that plcs will be formally required to comply under the listing requirements in the near future. It is a shame that IOSH are not identified as an input - Richard will no doubt be able to let us know if we were part of the consultation.
